While potential benefits of PE for physician practices include additional capital and resources, operational help, and consolidation that may create more efficient entities, practices considering working with PE firms should conduct due diligence in investigating the firm and whether the relationship will meet the practice%u2019s goals. HCMS offers a Guide for Physician Practices Considering PE Transactions. The many questions to consider for PE firms should include, %u201cIs the company experienced in our specialty? Does it have a track record?%u201d %u201cWhat is the purchase price for the transaction and how was it calculated?%u201d %u201cDo the practice, the MSO or other entities associated with the buyer impose any restrictive covenants on physicians who are part of the practice? If so, what is the duration and area covered by the restrictive covenants?%u201d In addition, the practice should identify suitable advisors for the transaction. At a minimum, this would include an attorney and CPA who have experience or history with health care transactions. While the timeframe has not yet been announced, it is generally mid-November through Dec. 31. This is the only opportunity during the year to change your participation status. Any change will be effective on Jan. 1. If you are not changing your participation status, no action is required.
